These Terms and Conditions of Use ("Terms") constitute a legally binding agreement between you, personally or on behalf of an entity ("You") and Zyphe Inc. ("Zyphe," "we," "us," or "our").

These Terms govern your access to and use of Zyphe’s website, decentralized KYC services, software, and any other related products or services (collectively, the "Services"). By accessing or using our Services, you agree to abide by these Terms. If you do not agree with any part of these Terms, you must not use our Services.

1. Agreement to Terms

By using Zyphe’s Services, You confirm that:

  • You have read, understood, and agree to be bound by these Terms.
  • If You are using the Services on behalf of an entity, You have the authority to accept these Terms on behalf of that entity.
  • You are of legal age to form a binding contract.

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the "Last Updated" date. Your continued use of the Services after any modifications constitutes your acceptance of the revised Terms.

2. Intellectual Property Rights

Unless otherwise stated, Zyphe and its licensors own all intellectual property rights in the Services, including but not limited to source code, software, trademarks, logos, designs, and proprietary technology.

Subject to your compliance with these Terms, Zyphe grants you a limited, revocable, non-exclusive, and non-transferable license to access and use the Services. You agree that you will not:

  • Copy, modify, or create derivative works of any content from the Services.
  • Reverse engineer, decompile, or attempt to extract the source code of any part of the Services.
  • Use the Services for any unlawful purpose or to violate the rights of any third party.

3. Personal Data and Privacy

Our Privacy Policy governs the collection, use, and storage of personal data. By using our Services, you acknowledge that you have reviewed and understood our Privacy Policy, available at privacy@zyphe.com.

Zyphe operates a decentralized KYC solution where personal data is stored under the control of the end user. We do not retain or store your personal information in a centralized database.

4. User Obligations

By using our Services, You confirm that:

  • All information you provide is accurate, complete, and up-to-date.
  • You will maintain the confidentiality of your credentials and notify us immediately of any unauthorized access.
  • You will not engage in fraudulent, deceptive, or unlawful activities while using the Services.
  • You will not disrupt, interfere with, or overburden our Services or security measures.

5. Third-Party Links and Services

The Services may contain links to third-party websites or services. Zyphe does not endorse or assume responsibility for any third-party content. You acknowledge that your interactions with third-party services are solely between you and the respective third party.

6. Disclaimers and Warranties

Zyphe provides the Services on an "as-is" and "as-available" basis. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

  • Merchantability, fitness for a particular purpose, and non-infringement.
  • Accuracy, reliability, and availability of the Services.
  • Protection against unauthorized access, loss, or corruption of data.

We do not guarantee uninterrupted access to the Services and are not liable for technical issues beyond our control.

7. Limitation of Liability

To the extent permitted by law, Zyphe shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to:

  • Loss of data, profits, business, or reputation.
  • Unauthorized access, loss, or corruption of personal data.
  • Third-party actions, security breaches, or failures beyond our control.

In no event shall Zyphe’s total liability exceed the greater of $1,000 or any amounts paid by You for the Services in the preceding 12 months.

8. Termination of Services

We reserve the right to terminate or suspend your access to the Services at our sole discretion, without prior notice, if we determine that:

  • You have violated these Terms.
  • Your use of the Services poses security, legal, or reputational risks.
  • We are required to do so by law or regulatory authority.

Upon termination, your right to access the Services ceases immediately, and we shall have no liability to you for any termination.

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Delaware.

For European Union (EU) users, you retain your consumer rights under mandatory EU data protection and consumer laws.
